1. TERMS OF CONTRACT 条款
K12, sells the products listed in this website (“Products”, which expression shall as the context admits refer to all or any of such Products) exclusively upon the terms set out below (the “Terms”). The “Purchaser” shall refer to any person, firm, company or other organization placing an order for any products. The placing of an order or acceptance of the products is deemed to constitute an agreement to observe and be bound by the terms and any concession, latitude or wavier that may be or may have been allowed by K12 at any time shall not prevent K12 subsequently exercising its full rights under the Terms. “Time will not be the essence of the contract”. Part and late deliveries will not, therefore, be a justification for withholding payment in any case.

2. ORDERS 订单
a. All orders should be sent direct to K12 via the relevant sections in the website www.K12org.com and the chosen webshop.
所有订单应通过网站www.K12org.com的网店直接发送到K12。
b. Once an order is confirmed, the Purchaser is obliged to pay the agreed price and adhere to the payment terms of the order.
一旦订单被确认，买方必须支付约定的价格并遵守订单的支付条款。
c. No part of K12 artwork, designs and ideas may be disclosed in any manner to a third party. All material, information, text, graphics, illustrations and photos remain the intellectual property of K12.

d. All description and other details provided in relation to goods are subject to confirmation by us and may be changed without notice. All sizes are approximate “to fit “sizes and are given as a general guidance only. Color, shades, materials and sizes of goods may vary to a minor extent from those illustrated.

3. PRICES 价格
Products will be invoiced at the price ruling at the date of purchase. Prices given by K12 include, the product and packaging. Products will be delivered to the Purchaser by a reasonable method and route chosen by K12 unless otherwise requested. The Purchaser shall bear all costs invoiced by K12 in respect to the method of delivery.
产品价格以购买发生时的定价为准。价格包括产品与包装。除特殊要求外，产品将通过K12选择的合理的方法和路线交付给买方。买方应承担K12开具的与交货方式有关的所有费用。
4. DISCOUNT, PAYMENT TERMS AND OVERDUE ACCOUNTS
折扣、付款条件及逾期帐目
a. Cleared payment for Products is due in full at the time of purchase.
货款在购买时全额付清。
b. Without prejudice to any other right of K12, K12 reserves the right to withhold delivery of all products to the Purchaser if any sum owing to K12 from the Purchaser is overdue until such sum is paid in full together with any interest due thereon.
在不损害K12的任何其他权利的情况下，如果买方欠K12的任何款项逾期未付，K12保留拒绝向买方交付所有产品的权利，直至该款项连同应付的任何利息全部付清。
c. On all orders K12 requires 100% of payment before dispatch.

d. K12 reserves the right to negotiate independent settlement terms for any new accounts or where special circumstances prevail. These terms to be confirmed in advance and confirmed in writing.

5. SHORTAGES, DAMAGE, RETURNS短缺、损坏、退货
a. If upon delivery any Products ordered by the Purchaser is found to be missing or damaged, K12 will use its reasonable endeavors to assist the Purchaser in making a claim against the carrier by showing that the relevant Products were delivered to the carrier in sound condition provided that the Purchaser notifies K12 and the carrier of all relevant details in writing within 48 hours of such delivery. Failure to take action within such time will render such assistance by K12 entirely discretionary.
如果买方发现订购的产品交付时缺失或损坏，买方应在48小时内通知K12，并提供收到的包装完好的照片，K12将会利用其合理的途径协助买方向承运方进行索赔。如未能在上述时间内采取行动，K12将完全酌情处理有关协助。
b. Notification of an order issue must be made to K12 within 72 hours of order receipt. Delivering the item to the relevant office at school campus, or returning the item to K12 within the 72 hour time frame, without prior email notification, is deemed acceptable notification.
如若产品有问题，买方须在签收货物后72小时内，向K12发出相关的通知，并在72小时内将问题货物送交给学校相关人员，或将物品交还K12。如逾期未收到相关邮件，则视为货物验收成功。
c. K12 will not be responsible for any product damaged through use by the Purchaser.
对于买方在使用过程中损坏的产品，K12不承担任何责任
d. The product must be unused. Exchanges will not be accepted if any name has been put onto the garment; if labels have been removed from the garment; if it is believed that the garment has been worn and laundered; if the garment is or has been soiled, stained, damaged or torn by the wearer. If the garment breaches any of these conditions, it will be returned to the Purchaser and the return postage will be charged.
需要更换的产品必须是未使用的。如果衣服上有任何名字、标签已从衣服上取下、穿过或洗过、衣服被弄脏、染污、损坏或撕裂，将不能更换。如果衣服有任何上述情形，它将被退回给买方，且运费由买方承担。
e. Once K12 has been notified of a exchanging garment (within the required 72 hours of receipt the garment), the garments must be received by K12 within 10 days. In the event that K12 does not receive the item within 10 days of notification, the sale is deemed final and K12 will be under no obligation to exchange the garments.
一旦K12收到更换货物的通知(在收到该衣物后72小时内)，K12必须在10天内收到该衣物。如K12在接获通知后10天内仍未收到货品，订单视为完成，K12再无义务更换有关货物。
f. K12 strongly recommends items are returned by recorded delivery. K12 DOES NOT accept any responsibility for items lost or damaged in return transit.

g. K12 shall be under no obligation to accept returned Products (unless such Products breach any warranty/contract given before the agreement of the sale) but may in its absolute discretion do so by prior agreement with the Purchaser. If K12 does so agree then the Purchaser must return such Products carriage paid and provide to K12 under separate cover the date and the number of the relevant invoice and (if possible) return the relevant delivery note.

h. For the avoidance of doubt, K12 shall not be responsible for the acts or omissions of any carrier.

i. Whilst every effort will be made to deliver all pre-made orders within 72 hours (within Guangzhou), or where quoted a different time, this is not contractual.

6. FORCE MAJEURE 不可抗力
K12 shall not be liable to the Purchaser for any inability to perform or delay in performing any of its obligations hereunder where such inability or delay as aforesaid is caused (directly or indirectly) by any event or circumstance beyond K12’s reasonable control including (but without Limitation) any trade dispute, strike or lock – out involving its own employees or the employees of any supplier or carrier.
因不可抗力，包括（但不限于）任何贸易纠纷，罢工或停工（自己的雇员或任何材料供应商或承运人的雇员），直接或间接导致K12延迟或无法履行义务的，K12不对买方承担任何无法履行或延期履行其在本协议项下的义务的责任。
7. LIABILITY 责任
a. In no circumstances shall K12 be liable to the Purchaser, their sub-contractor, sponsor or any third party, either in contract or in tort, for any indirect, incidental or consequential loss suffered by the Purchaser on account of any faulty products, act or omission on the part of K12. “Consequential loss” shall include loss or profit, goodwill or any other financial loss, any payment made or due to the third party, and any loss or damage caused to any property belonging to the Purchaser or any third party.
在任何情况下，K12均不对买方、其分包商，赞助商或任何第三方以合同或侵权形式对买方因任何有缺陷的产品，或行为而遭受的任何间接、偶发或必然损失负责。“间接损失”应包括利润，商誉或任何其他财务损失，已付或应付给第三方的任何款项，以及对属于买方或任何第三方的任何财产造成的任何损失或损害。
8. RISK AND TITLE 风险
Risk in the Products shall pass to the Purchaser at the time the Products are consigned to the carrier for delivery to the Purchaser.
产品的风险应在将产品委托给承运人交付给买方时转移给买方。
9. GENERAL 其他
a. The Purchaser shall not assign any benefit or burden of these Terms.
买方不得转让这些条款的任何利益或负担。
b. The Clause headings in these Terms are for ease or reference only and shall not affect their interpretation.
这些条款中的条款标题仅是为了方便或参考，并不影响其解释。
c. K12 shall be entitled to dispatch products comprised in an order by one or more installments and to issue an invoice in respect of each such installment.
K12有权按一个或多个分期付款来分批订购包含的产品，并有权就每一个此类分期付款开具发票。
d. No variation or addition to the conditions will be recognized by K12 unless accepted and confirmed by K12 in writing.
除非经K12书面接受并确认，否则K12不会承认条款的任何变化或增加。
10. LAW 法律法规
These terms shall be governed and constructed in accordance with the laws of the receiving country (P. R. China) to the non-exclusive jurisdiction of whose courts the Purchaser agrees to submit.
这些条款应根据接受国（中国）的法律进行管辖和解释，买方同意接受其管辖权。
